Terms of Service

Preamble
These Terms of Service (the "Agreement") constitute a binding legal agreement between Sinthax Inc. ("Sinthax", "we", "us", or "our") and you ("Customer", "you", or "your"). By accessing or using our software-as-a-service platform and related services (collectively, the "Service"), you agree to be bound by this Agreement.
If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms and conditions. If you do not have such authority, or if you do not agree with these terms and conditions, you must not accept this Agreement and may not use the Service.
1. The Service
Sinthax replaces boring forms and surveys with smart AI conversations to help you truly understand your audience. Our platform allows you to create interactive AI-powered conversations from a simple prompt, driving higher engagement and delivering richer, more actionable insights than traditional forms or surveys. Use cases include customer feedback, employee feedback, event management, market research, product development, and lead generation.
Subject to your compliance with this Agreement and payment of applicable fees, Sinthax grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for your internal business purposes during the Subscription Term.
We may update the Service from time to time to improve functionality or security. We will not materially decrease the core functionality of the Service during your paid Subscription Term without providing notice to you.
2. Your Responsibilities
You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. We use WorkOS for secure authentication, including support for single sign-on (SSO) and multi-factor authentication. If you manage an Organization within the Service, you are responsible for the acts and omissions of all users you invite or authorize.
You shall not: (a) reverse engineer, decompile, or disassemble the Service; (b) copy, modify, or create derivative works of the Service; (c) remove any proprietary notices or labels; (d) use the Service to build a competitive product or service; (e) use the Service for any illegal or unauthorized purpose; or (f) interfere with or disrupt the integrity or performance of the Service.
You are solely responsible for the content, data, and information you input into the Service, including conversation prompts, configurations, and any data collected from your end-users ("User Content"). You represent and warrant that you have all necessary rights to use and process such User Content.
3. Fees and Payment
You agree to pay all fees specified in your subscription plan. Fees are quoted and payable in United States dollars. Payment obligations are non-cancellable and fees paid are non-refundable, except as expressly provided herein.
We use Stripe to process payments. You must provide current, complete, and accurate billing information. By subscribing, you authorize us to charge your payment method for the initial subscription term and any renewal terms.
Our fees do not include any taxes, levies, duties, or similar governmental assessments. You are responsible for paying all taxes associated with your purchases hereunder.
4. Proprietary Rights
Sinthax and its licensors own all rights, title, and interest in and to the Service, including all intellectual property rights therein. Nothing in this Agreement grants you any right, title, or interest in the Service other than the limited access rights expressly granted herein.
You retain all ownership rights in your User Content. You grant Sinthax a worldwide, royalty-free license to use, host, store, reproduce, and display your User Content solely as reasonably necessary to provide, maintain, and improve the Service.
If you provide us with any feedback or suggestions regarding the Service, we may use such feedback without any obligation to you.
5. AI Disclaimer
The Service utilizes artificial intelligence and machine learning technologies from providers such as OpenAI, Anthropic, Google, and Grok to generate conversational responses and summaries. You acknowledge that:
- AI may produce inaccurate, incomplete, or misleading information.
- You should not rely solely on AI-generated outputs for critical decision-making without human verification.
- You are responsible for reviewing and verifying the accuracy of any content generated by the Service before using or publishing it.
- Sinthax does not guarantee the quality, accuracy, or suitability of any AI-generated content.
6. Term and Termination
This Agreement commences on the date you first accept it and continues until all subscriptions hereunder have expired or have been terminated.
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. SINTHAX DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SINTHAX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO SINTHAX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9. General Provisions
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
This Agreement constitutes the entire agreement between you and Sinthax regarding the Service and supersedes all prior agreements and understandings.
We reserve the right to modify this Agreement at any time. If we make material changes, we will notify you through the Service or by email. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
